Terms of Service

Notice: This English version is provided for convenience. The authoritative document is the Japanese 利用規約. In case of conflict, the Japanese version governs.

Article 1 (Application)

These Terms of Service govern use of the Sales Claw software and the site at https://salesclaw.site. By using the software or site, you agree to these Terms. The software is open source under the MIT License; where the MIT License conflicts with these Terms regarding the software, the MIT License prevails.

Article 2 (Definitions)

  1. "Software" — the Sales Claw source code and binaries published by the operator on GitHub.
  2. "Site" — https://salesclaw.site and its subdomains.
  3. "User" — any individual or entity using the Software or Site.
  4. "Content" — text, images, video, source code, documentation, and any other materials on the Site.
  5. "Personal Information" — as defined in Japan's APPI.

Article 3 (Provision of the Software)

The Software is provided AS IS, without any warranty (express or implied), including merchantability, fitness for a particular purpose, non-infringement, accuracy, completeness, or continuity. The MIT License full text is in the LICENSE file. The operator may change, suspend, or terminate the Software or Site at any time without notice.

Article 4 (Prohibited conduct)

You may not use the Software or Site to:

  1. Violate laws, regulations, court orders, or governmental directives.
  2. Violate public order and good morals.
  3. Violate Japan's Act on Regulation of Transmission of Specified Electronic Mail.
  4. Infringe intellectual property rights (copyright, trademark, patent, etc.).
  5. Process personal information in violation of APPI.
  6. Continue sending after the recipient has explicitly refused.
  7. Send to forms explicitly marked as do-not-contact, existing-customer-only, recruiting-only, IR-only, or press-only.
  8. Intercept, interfere with, or gain unauthorized access to third-party communications or systems.
  9. Improperly bypass CAPTCHA or violate robots.txt and similar crawling rules.
  10. Submit false information to contact forms.
  11. Engage in high-volume or continuous sending that disrupts third-party operations.
  12. Promote spam, phishing, fraud, MLM, pyramid schemes, or products/services contrary to public order.
  13. Send content amounting to discrimination, defamation, insult, or privacy invasion.
  14. Exploit Software vulnerabilities or conduct security research without permission.
  15. Decompile or disassemble outside the MIT License scope.
  16. Disrupt site operation (excessive load, DoS, automated access, etc.).
  17. Engage in any other behavior the operator reasonably deems inappropriate.

Article 5 (User responsibility)

You are responsible for all outbound activity, content generation, form submissions, and other actions performed using the Software. While the Software requires human approval before sending, the legal responsibility for any send rests with you. You are responsible for ensuring compliance with applicable laws. The Compliance Footer feature is auxiliary and does not guarantee legal compliance.

If your violation of these Terms causes damage to the operator or a third party, you shall indemnify and hold the operator harmless at your own cost.

Article 6 (Disclaimer)

The operator disclaims liability for any direct, indirect, incidental, special, punitive, or consequential damages arising from use of, or inability to use, the Software or Site, even if advised of the possibility. This includes: loss of profits, revenue, or opportunity; loss or corruption of data; business interruption; substitute-service costs; third-party claims; recipient refusals or reports; defects caused by AI provider API changes; and any other commercial damage.

Article 7 (Liability cap)

To the maximum extent permitted by law, the cumulative liability of the operator under these Terms and in connection with the Software or Site shall be capped at JPY 1,000. This cap does not apply to willful misconduct or gross negligence of the operator, or where Articles 8 and 9 of the Japan Consumer Contract Act limit such caps.

Article 8 (Intellectual property)

Software source code is published under the MIT License; copyright belongs to each contributor. Site content (text, images, logos, design, video, etc.) belongs to the operator or rights holders; reproduction without permission is prohibited except as allowed by law. "Sales Claw" and its logo are trademarks (including pending registrations) of the operator. Use is permitted within the MIT License (e.g., redistributing the Software with its logo).

Article 9 (Privacy)

The Software is local-first; your data resides on your PC. AI provider policies apply to AI CLI use. The Site uses GA4 and AdSense under our Privacy Policy.

Article 10 (Exclusion of organized crime)

You represent and warrant that you and your affiliates are not, and will not be, members of organized crime groups (as defined in Japanese law), and you will not engage in violent demand, unlawful demands exceeding legal responsibility, threatening conduct, dissemination of false rumors, fraud, or use of force against the operator. Violations permit immediate termination by the operator without notice and without liability for resulting damages.

Article 11 (Measures on violation)

If you violate these Terms, the operator may immediately suspend or prohibit your use of the Software or Site without notice. The operator is not liable for resulting damages.

Article 12 (Changes to the Terms)

The operator may amend these Terms without individual notice. Material amendments are announced on the Site and take effect when posted. Continued use after amendment constitutes acceptance.

Article 13 (Severability)

If any provision is held invalid or unenforceable, the remaining provisions remain in full effect; the invalid provision shall be replaced with the closest valid alternative.

Article 14 (Entire agreement)

These Terms together with the Privacy Policy and any guidelines constitute the entire agreement between you and the operator regarding the Software and Site, superseding any prior understandings.

Article 15 (Governing law and jurisdiction)

These Terms are governed by the laws of Japan. The Tokyo Summary Court or Tokyo District Courthas exclusive jurisdiction as the court of first instance, subject to amount in dispute. For consumer Users under the Consumer Contract Act, the courts at the User's domicile also have first-instance exclusive jurisdiction.
